Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Simpliory website, platform, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1. Provider

The Services are provided by:

2. Eligibility

You may use the Services only if you are legally able to enter into a binding agreement.

If you use the Services on behalf of a company, business, or other organization, you represent and warrant that you have authority to bind that entity to these Terms.

3. The Services

Simpliory provides AI-powered software tools for social media operations, messaging workflows, campaign support, content systems, analytics, and related business automation features.

We may update, improve, modify, suspend, or discontinue any part of the Services at any time.

4. Accounts

You are responsible for:

  • providing accurate and complete information
  • maintaining the confidentiality of your account credentials
  • all activity under your account
  • notifying us promptly of any unauthorized use or security breach

5. Business Use

Simpliory is primarily intended for businesses, business owners, and independent professionals such as solopreneurs.

You are responsible for ensuring that your use of the Services complies with all laws, regulations, platform rules, and contractual obligations applicable to your business.

6. Subscriptions and Billing

Some features of the Services require a paid subscription.

By subscribing, you authorize us and our payment providers, including Paddle, to charge the fees applicable to your selected plan, including recurring subscription charges and any approved usage-based charges, unless and until your subscription is canceled.

Your pricing, included usage, renewal terms, and any overage rules will be presented at checkout, in your billing settings, or in separate commercial terms.

7. Renewal and Cancellation

Subscriptions renew automatically unless canceled before the next renewal date.

You may cancel by using your billing settings, where available, or by contacting support@simpliory.com.

Cancellation will take effect at the end of the current billing period unless otherwise stated at checkout or required by law.

8. Refunds

Except where required by law, fees are generally non-refundable once charged.

However, Simpliory may, at its discretion, refund the unused portion of credits associated with a user’s subscription or prepaid balance if requested by the user and if such credits have not been consumed.

Any refund decision may depend on:

We reserve the right to deny refund requests where there is evidence of misuse, abuse, or significant consumption of the Services.

  • whether credits were used
  • whether the request is made within a reasonable time
  • abuse prevention and fraud review
  • payment processor limitations

9. Trials, Credits, and Promotions

We may offer:

Credits may expire if stated at the time they are granted or sold.

10. Acceptable Use

You may not use the Services to:

  • violate any law or regulation
  • infringe privacy, intellectual property, or other rights
  • create or distribute unlawful, deceptive, abusive, defamatory, fraudulent, or harmful content
  • send spam or unauthorized mass communications
  • impersonate individuals or entities
  • interfere with the operation or security of the Services
  • attempt unauthorized access to any systems, accounts, or data
  • use the Services to improperly develop, benchmark, or reverse engineer competing products

11. Customer Content

You retain ownership of the content you upload, connect, input, or submit to the Services (“Customer Content”).

You grant Simpliory a limited, non-exclusive right to host, store, process, transmit, and use Customer Content solely as necessary to provide, secure, support, and improve the Services.

You represent and warrant that:

  • you have all necessary rights to provide and use Customer Content
  • your Customer Content and your use of the Services do not violate law or third-party rights
  • you are responsible for reviewing content before publishing, sending, or relying on it in your business operations

12. AI Features and Outputs

The Services may generate suggestions, outputs, automations, messages, content, analyses, and other AI-assisted materials.

AI outputs may be inaccurate, incomplete, or unsuitable for your intended purpose. You are responsible for reviewing and validating outputs before relying on, publishing, deploying, or sending them.

Simpliory does not guarantee that AI outputs will be error-free, lawful, platform-compliant, or fit for a particular purpose.

13. Customer Data Use

Simpliory does not use Customer Content or customer data to train public or general-purpose AI models. Customer data is processed only as necessary to provide the Services, generate requested outputs, support configured workflows, maintain platform functionality, improve reliability and security, and comply with legal obligations.

14. Integrations and Third-Party Services

The Services may integrate with third-party services and platforms.

Your use of those third-party services is governed by their own terms and policies. Simpliory is not responsible for:

  • third-party outages
  • policy changes
  • API limitations
  • platform suspensions
  • loss of access caused by third-party providers
  • data practices of third-party services

15. Intellectual Property

The Services, including software, designs, interfaces, branding, workflows, databases, and related materials, are owned by Simpliory or its licensors and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

16. Suspension and Termination

We may suspend or terminate access to the Services if:

  • you violate these Terms
  • payment is overdue
  • your use creates legal, security, or operational risk
  • required by law
  • required due to actions or restrictions imposed by third-party platforms or providers

17. Disclaimers

You may stop using the Services at any time.

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Simpliory disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

18. Limitation of Liability

To the maximum extent permitted by law, Simpliory will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data.

To the maximum extent permitted by law, Simpliory’s total liability arising out of or relating to the Services will not exceed the greater of:

  • the total amount paid by you to Simpliory in the 12 months before the claim arose
  • USD 100

19. Indemnification

You agree to defend, indemnify, and hold harmless Simpliory LLC and its affiliates, managers, employees, contractors, and representatives from and against claims, liabilities, damages, losses, and expenses arising out of:

  • your use of the Services
  • your Customer Content
  • your violation of these Terms
  • your violation of any law or third-party rights

20. Governing Law

These Terms are governed by the laws of Georgia, without regard to conflict of law rules.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Georgia, unless mandatory law requires otherwise.

21. Changes to These Terms

We may update these Terms from time to time. If we do, we will post the updated version and revise the “Last updated” date.
